Virgin Orbit (VO) is seeking a new member for our team to serve as a Senior Counsel. Your primary responsibility would be to work with our General Counsel to structure, negotiate and close business, financing and investment transactions. We are seeking a business-minded corporate attorney (sorry, no litigators) with strong experience in corporate and securities transactions. You must be a creative thinker, an effective writer and negotiator, and a passionate advocate for our mission. You will work with smart, dedicated professionals who are building a world-changing business and will value your legal guidance and input. This is a full-time position at our rocket factory in beautiful Long Beach, California.
Work on a wide range of corporate and securities transactions, including launch service agreements with our customers, business and financing deals with existing and new investors, and equipment financing for our operations
Structure and establish new subsidiaries and set corporate governance policies for our companies
Assist the General Counsel with general corporate matters
Help Virgin Orbit do our part to make the world a better place
Constantly learn new things—and share them with your team members

What you bring
If you want to join us, you’d better have all of these…
J.D. degree from an accredited law school and admission to California bar
6+ years of relevant corporate securities law in a high-caliber law firm or comparable corporate environment
Experience structuring, negotiating and drafting a broad range of corporate transaction agreements, including mergers, acquisitions, joint ventures and strategic partnerships; financing agreements; shareholder and investor agreements; corporate governance documents, from bylaws and operating agreements to written consents; and general contracts for business development, procurement, marketing, technology development, confidentiality agreements, software licensing and services
Demonstrated ability to (i) identify and raise salient issues, (ii) draft language and propose various strategies that take into account relevant strategic or business goals, and (iii) communicate issues, risks and solutions clearly and concisely to lawyers and non-lawyers alike
An understanding of (or a willingness to learn) the technical, market and customer objectives of our business, in order to provide business-oriented legal advice
Experience dealing with diverse constituencies and external parties (customers, board members, investors, senior management, regulators and external counsel)
Strong social, analytical and problem-solving skills, with the ability to work well independently and as part of a team with business partners
Excellent verbal and written communications skills
Proven ability to handle multiple projects and assignments simultaneously, without significant direct supervision from a senior attorney, and still meet high quality and timeliness standards
Sound judgment and a commitment to ethical conduct
Strong academic credentials
Current membership in the State Bar of California
Ability and willingness to thrive in a fast-paced, rapidly changing work environment
