Position Description:
Title: Senior Counsel (SC)
Location: New York, NY
Reports to: General Counsel
Position Summary:

The Senior Counsel (SC) will provide legal support to IAVI’s Research and Development (R&D) programs, which include a wide range of vaccine and antibody discovery and/or development programs and projects, both internally generated or externally partnered, with academic and industry collaborators. The SC will provide legal advice and input to the R&D team, working closely with the project teams and providing proactive leadership in the identification and resolution of legal issues, and the structuring and negotiation of a diverse range of R&D related agreements and collaborative activities. The position will also provide legal support to IAVI’s research laboratory network in NYC, La Jolla California, London and Delhi, and clinical development programs. The SC will also work closely with IAVI’s Business Development group to coordinate business development and intellectual property support, as may be needed, for IAVI R&D programs.

Key Responsibilities:
• Provide legal support to IAVI’s R&D programs, including interactions with research laboratories, pre-clinical and clinical translational development activities (e.g., CDAs, MTAs, research agreements, clinical trial agreements, collaboration agreements, license agreements, etc.), the establishment of vaccine development collaborations, and provide support to regulatory and quality activities and functions;
• Draft, review and negotiate contracts with partner organizations (pharma and biotech companies, universities, NGOs and governments), and provide business focused legal advice;
• Work in a coordinated and integrated fashion within IAVI’s General Counsel’s Office, and with the Business Development and intellectual property management functions, to support IAVI’s R&D programs;
• Work with R&D team in ensuring the success of the business and in the support of its translational development activities; and
• Manage multiple projects independently.


Education, Experience and Skills:
• JD degree and New York bar admission;
• Minimum 6+ years relevant work experience;
• Commercial/transactional experience, including contracts and intellectual property issues relating to pre-clinical and clinical research activities and business development activities;
• Strong experience with pharma, biotech and/or academic life science research and development, with experience in vaccine or antibody based research and translational development preferred;
• Familiarity with intellectual property issues arising from pharma sector and/or vaccine product development;
• Ability to manage complex issues;
• Proactive, action oriented, and collaborative;
• Strong project management skills;
• Excellent verbal and written communications skills;
• Strong negotiation and drafting skills; and
• Strong analytical skills.

In addition to its core HIV vaccine effort, IAVI is working to amplify its global health impact by working with partners to address other urgent unmet public health needs – such as vaccines for other infectious diseases (e.g., Tuberculosis, other emerging infectious diseases, such as Lassa Fever Virus, etc.) or other global health challenges, where our existing technologies, assets, and experience can add unique value.
