Key Areas of Responsibility

• Serve as a trusted advisor to the Chief Executive Officer, President, Board of Directors, and senior management on a wide range of sensitive and complex legal matters pertaining to policy formulation, allocation of resources, and other management issues.
• Provide advice on the business and legal ramifications of significant, strategic initiatives, including acquisitions, real estate transactions, and other possible investments. 
• Build and maintain effective relationships and credibility with relevant regulators.  Build and maintain effective relationships and credibility across the internal organization of the Company, providing strong oversight of legislative, regulatory, and legal matters affecting the Company.
• Monitor and manage exposure to litigation (and potential litigation); work with the appropriate executive(s) to define a strategic defense or litigation strategy; monitor costs; and negotiate settlements where warranted.
• Manage and develop the Company’s internal legal function, including the leadership team, attorneys, and support staff to ensure optimal use of in-house and external legal resources. Build a positive working environment and culture within the Legal Department that reflects the values and brand of the Company.
• Proactively manage the Company’s external legal engagements to ensure high-quality legal representation with the goal of minimizing both legal exposure and legal expenditures. 
• Provide sound legal advice and support to the Company’s shareholder group with respect to a wide variety of legal issues.

Position Requirements:

General Counsel must be an experienced lawyer with the legal background, unquestioned integrity, management experience, and interpersonal skills required to function successfully in a challenging legal executive role. The General Counsel must have a Juris Doctorate from an accredited law school and be a licensed member in good standing of at least one state bar. Eligibility for licensure in Oklahoma is preferred. The following characteristics are representative of the knowledge, skill, and ability that are preferred in the new General Counsel:

• 10+ years of relevant legal experience, in a successful private practice, high-level in-house position, and/or government position in a management role. Banking experience preferred. 
• Ability to provide business and strategic advice and guidance at both the executive management and board level.
• Highly polished and effective negotiation, communication, and drafting skills.
• Proven ability to lead and execute all facets of complex corporate transactions; conversant in mergers and acquisitions.
• Ability to manage litigation matters and maintain strong interactions with outside counsel.
• Regulatory and compliance experience.
• Ability to manage legal issues requiring a high degree of cross-functional cooperation and the consideration of various laws and regulations, particularly regulations governing commercial banks and mortgage servicing.
• Ability to build relationships and work effectively with relevant regulators.
• Ability to manage, develop, and motivate a large, diverse legal team, with the ability to prioritize and focus functions on the more critical issues/projects and engage fully with the relevant business units.
• Good comprehension of the importance of adhering to the rules of professional responsibility and the requirements of both attorney-client privilege and client confidentiality.
