JOB SUMMARY:
The Associate General Counsel will provide corporate legal services to the National Trust by providing a broad, complex, and varied range of nonprofit corporate legal services involving the entire scope of the organization’s activities. In addition, the Associate General Counsel provides assistance with a variety of legal advocacy issues related to saving historic and culturally important places.
For more than 70 years, the National Trust for Historic Preservation has led the movement to save America’s historic places. A privately funded nonprofit organization, we work to save America's historic sites; tell the full American story through programs like our African American Cultural Heritage Action Fund; build stronger communities; and invest in preservation's future.
Location within the broader DC-Baltimore area is preferred, with a hybrid work arrangement available.
DUTIES:
The duties of the Associate General Counsel include the following:
- Corporate Legal Services (Primary Area of Responsibility): Provide a broad, complex, and varied range of nonprofit corporate legal services involving the entire scope of the organization’s activities. Prepare high-quality legal writing (memoranda, contracts, grants, and agreements) and legal review of documents, provide legal advice and assistance, resolve claims and disputes, and if necessary assists in litigation to advance or defend the organization’s interests. Subject areas may include the following: transactional matters; historic sites-related issues; intellectual property and licensing; tax; insurance; wills and estates; fundraising; federal, state, or local regulatory matters; nonprofit solicitation and gift acknowledgement matters; easements and real estate.
- Education and Outreach: Participate in public outreach relating to historic preservation law through the creation of publications distributed on the organization’s social media channels and participate in educational activities relating to historic preservation law for professional, student, and lay audiences.
- Legal Advocacy: Provide or assist with a broad, complex, and varied range of legal advocacy issues, as assigned.
- Other: Assist with the identification and recruitment of pro bono legal assistance, internships, and other support for the National Trust’s legal programs. Further develop expertise in areas of specialty and contribute to the body of knowledge in these areas through speaking, organizing conferences, and writing material for publication. As requested, assist with grant writing, organization of special events, and fundraising activities.

QUALIFICATIONS:
- Law Degree and member in good standing of the D.C. bar and/or another state bar (and eligible to waive into D.C.); total years of professional experience must include not less than 5 years’ experience in the practice of law including experience with corporate legal services in a non-profit legal setting or firm.
- Advanced analytical and problem-solving skills, including issue identification and prioritization and risk assessment and mitigation.
- Advanced project-management and client-management skills and ability to collegially collaborate across divisions and with external stakeholders to achieve results with only general supervision.
- Ability to prioritize and respond to a high volume of ongoing requests, multi-task efficiently, and meet deadlines in a timely fashion, with the ability to adapt and be flexible in a dynamic work environment.
- Attention to detail and excellent organizational skills and verbal and written communications skills are essential.
- Advanced knowledge of Microsoft Word and Excel required.
- Background or demonstrated interest in historic preservation or in allied fields such as museum or historic site administration, urban planning, or environmental or social justice advocacy a plus.
- Ability to prioritize, multi-task efficiently, and respond to a high volume of ongoing requests and meet deadlines in a timely fashion, with the ability to adapt and be flexible in a dynamic work environment.
- Demonstrated success engaging culturally diverse partner organizations and constituents. Connections with diverse professional and affinity groups a plus. Comfortable talking about identities such as race, ethnicity, sexual orientation, class, ability, or gender in plain, specific terms as they relate to the workplace and cultural heritage.
PAY & BENEFITS
This is a full-time, exempt level position, eligible for full benefits, including health, dental and life insurance, retirement benefits, and 3+ weeks of vacation, plus sick time and holidays.
The National Trust and its subsidiaries require all staff to show proof of COVID-19 vaccinations and boosters (with limited exceptions for religious or medical reasons).
Hiring Range: $105,000-115,000 per year (some flexibility based on relevance of experience and size or type of organizations worked for)
